Legal Advisor

Shall be expert in departments as mentioned below ;

• Expert in Facility Management
• Expert in Banking & Finance
• Expert in Legal Cases

• Provide legal services/advise and resolves legal matters related to the Real Estate
• Negotiate contracts with customers and business partners on behalf of the company;
• Review and draft contracts, POA and agreements to ensure that they are in compliance with all statutory or legal requirements;
• Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
• Review all contracts or any other documentation where the Company has committed itself and assesses legal implications that need to be brought to the executive management’s attention;

Drafting legal documents;

• Drafting and reviewing of commercial agreements (building construction, sales, supply, agency, distribution, franchising, commercial lease, warehousing and logistics agreements, general terms and conditions (B2B and B2C);
• Assistance in negotiating and drafting of settlement agreements;
• Execution and termination of distribution and supply agreements;

• reviewed commercial contracts and international agreements received from third parties;
• responded to general inquiries of business units with regard to the services and the arbitration/conciliation procedure;

Banking

• Senior role which consists of advising the business on service agreements, co-investment contracts, intellectual property law, advising on legislative processes and regulatory obligations of the company.

• Managing the Intellectual Property plan of Dubai Real Estate a structure and goals for the long term to protect the company’s trademarks, licenses/copyrights.
• Attend all senior meetings & discuss the corporation’s strategy.
• Key person in Legal to work in autonomy with business & procurement on projects & agreements with external stakeholders.

• Manage investment and property portfolio while conducting negotiations with co-investors, counterparties, and global partners throughout the investment transactions, along with multimillion-dollar deals annually
• Lead the Legal Team and Real Estate Department in managing China investment with $1B

Manage accounts handed over by the business team in case of significant issues.
Conduct an initial review / assessment of the account with the transferring unit and the Business RM.

· Reviewing the legal documentation pertaining to the lien positions for completeness and proper filing. Conducting review of the liens of other creditors to assess the customer’s total liabilities.

· Verification and valuation (wherever necessary) of the collateral for a liquidation analysis.

· Co-ordination with the legal and operations teams to review the customers’ transaction and cash accounts and the Bank’s right of set-off.

Handling the Legal Department of a local bank as a representative of the law firm. Studying the credit files from a legal point of view to ensure the bank’s interests, reviewing, negotiating and drafting legal documentation and all types of contracts related to corporate, banking and finance matters (credit facility agreements, mortgage agreements, negative pledge, and escrow account agreements), advising on banking operations to various department.

• Providing active support to the head of the legal department of another local bank in offering legal opinions to achieve the overall objectives of the department, advising on legal issues that may arise in relation to existing agreements. Bringing lawsuits against the bank clients before the Courts.
• Negotiating, analyzing, reviewing and drafting contracts (Joint venture agreements, consortium agreements, supply agreements, value added reseller agreements, distributorship agreements, memorandum of understanding (MOU), non-disclosure agreement (NDA), general conditions of sale).
• Delivering employment contract, effective advice on labour law policies, employment policies.
• Attending general assembly meetings and board of directors’ meetings and drafting minutes of meetings.
• Preparing legal opinions pertaining to corporate law, civil law.
• Representing and assisting local corporate entities mainly Insurance Companies & Banks.
• Employee Incentive Schemes (drafting agreements, general advice); Compromise Agreements (drafting, amending); Directors’ Service Agreements (amending, general advice).
• Carrying out translation either into Arabic, English and French of legal documents.

Update & maintenance of Corporate Governance Manual as per regulatory Authority & Board management.
Updating the Board on the leading best practice of Corporate Governance.
