As Pyypl continues to scale, we are looking for a Group Head of Legal to support us through our next big growth-phase.

WHAT WILL YOU BE DOING?

As the Group Head of Legal at our dynamic, entrepreneurial, and fast paced fintech organization, you will be responsible for providing strategic legal leadership and oversight across the Pyypl group of companies.  You will play a crucial role in overseeing legal and regulatory compliance, and corporate governance matters, while supporting the organization’s growth and expansion initiatives predominantly in the Middle East, Africa and Asia.  The ideal candidate is a seasoned legal professional with a solid understanding of the fintech industry, strong leadership skills, and a proven track record of effectively managing legal and corporate affairs teams.

• Legal Strategy: Develop and implement the legal strategy for the entire group of companies, aligning it with the overall business objectives and risk appetite.
• Regulatory Compliance: Oversee and ensure business compliance with relevant local, national, and international laws and regulations, including but not limited to, those of the Abu Dhabi Global Market (ADGM).
• Corporate Governance: Ensure compliance with corporate governance principles, including support in board-related matters in accordance with the group’s charter and authority matrix.
• Contract Negotiation: Provide expert guidance and support to the legal team during complex contract negotiations of the business with partners, vendors, and other third parties and stakeholders.
• Corporate Transactions: Provide legal expertise during mergers &/ acquisitions, and other corporate transactions.  Prepare or review term sheets, investment (funding) agreements, debt financing agreements, and ancillary banking corporate documents, etc. including authorization documents.
• Intellectual Property management: Safeguard the group’s intellectual property rights by managing trademarks and copyrights, etc.
• Litigation Management: Oversee and coordinate any legal disputes and litigation matters, working closely with external legal counsel when necessary.
• Data Privacy and Security: Advise the business on data protection and privacy matters, ensuring business compliance with data security laws and international standards.
• Policy Development and Training: Collaborate with cross-functional teams to develop and update company-wide policies that adhere to legal requirements and industry standards.  Foster a culture of ethical business conduct across the group by monitoring implementation of policies and regulations. Develop and deliver legal training programs to educate employees and management on legal matters, compliance requirements, and ethical practices.
• Risk Assessment: Conduct legal risk assessment across the group’s operations and advise senior management on potential legal implications of business decisions in liaison with the group risk and compliance team.
• Government Relations: Maintain and strengthen relationships with regulatory bodies and government agencies, such as the ADGM Financial Services Regulatory Authority, and stay informed about developments in the relevant legal and regulatory space.
• Budget Management: Efficiently manage the legal department’s budget and optimise resources and manage external counsel relationships.

WHAT DO YOU NEED TO BE SUCCESSFUL IN THIS POSITION?

• Must be a qualified lawyer with active bar membership in an international jurisdiction.
• 10-15 years post qualification experience and proven senior leadership position.
• Ideally have some private practice experience at a top-tier international or MENA law firm’s banking and finance department, and in-house experience at a recognized bank or financial institution or a fintech company. 
• In-depth knowledge of fintech industry legislative and regulatory environment and best practices.
• Exposure to current major global money market jurisdictions and modern financial products/services.
• Previous experience in managing legal affairs for a group of companies or subsidiaries is a plus.
